Terms of Service

This document is the engineering-drafted working version. It will be reviewed by qualified Bulgarian / EU legal counsel before public launch, and the effective date will be set at that point. Material clauses below reflect our intent; legal-final wording may shift in detail.
1. Acceptance of Terms
By creating a Nocx account, installing the Nocx application, or accessing services at nocx.app, you agree to these Terms of Service ("Terms") and to our Privacy Policy. If you do not agree, do not create an account and uninstall the application.
You must be at least 13 years old, or 16 if you reside in a European Union member state, to use Nocx (GDPR Art. 8 minimum age). Where local law requires a higher age, that age applies.
2. Service Description
Nocx is an end-to-end encrypted messaging application that provides direct messaging, group messaging, and community server features (channels, roles, moderation). The Nocx server is structurally incapable of reading message content; we hold ciphertext, not plaintext. One opt-in exception exists: a community owner may add a Nocx-hosted bot, whose keys run on our infrastructure — we can then read the channels that bot is in, the owner accepts an explicit disclosure before the bot exists, and every member sees the bot labeled NOCX-HOSTED (Privacy Policy §5.4).
This has direct consequences for these Terms: we cannot moderate content we cannot read. Enforcement of acceptable use (§3 below) is metadata-driven and report-driven, not content-scanning — except within the readable scope of a community's opted-in Nocx-hosted bot, where reported content can additionally be acted on.
3. Acceptable Use
You agree not to use Nocx to:
- Create, distribute, store, or solicit Child Sexual Abuse Material (CSAM). Reports of CSAM are forwarded to NCMEC and / or the appropriate national authority; accounts engaged in CSAM activity are terminated.
- Distribute malware, ransomware, or other malicious software.
- Harass, threaten, dox, or stalk other users.
- Engage in illegal activity under the laws of your jurisdiction or ours.
- Send unsolicited bulk messages (spam).
- Attempt to evade lawful service of legal process.
- Reverse-engineer, decompile, or extract source code from binary builds in ways that violate the license under which they are distributed.
- Use Nocx to violate the rights of third parties — intellectual property, privacy, publicity.
4. Reporting Misuse
Reports of acceptable-use violations should be sent to legal@nocx.app with as much context as you can provide (account identifiers, screenshots taken on your device, timestamps).
We cannot retroactively read message content — including any content cited in a report. Our enforcement is limited to:
- Suspending or terminating accounts engaged in pattern-of-abuse activity that is detectable via metadata (e.g. mass account creation, server-discovery spam, payment fraud)
- Removing publicly-visible content that the server hosts (avatars, server names, server descriptions, public profile fields)
- Cooperating with valid legal process to the extent the data exists on our servers (see Privacy Policy for what data exists)
We commit to a 72-hour acknowledgement target for all reports and to publishing a transparency report annually once incorporation completes.
5. Accounts
You are responsible for safeguarding the credentials that protect your account — your password, recovery codes, and any device on which you remain logged in. We cannot recover an account whose credentials and recovery codes are both lost. End-to-end encryption guarantees that we have no skeleton-key fallback.
You may delete your account at any time from Settings → Account → Delete account. Deletion is a single database transaction documented in our Privacy Policy; it is irreversible.
6. Subscriptions, Billing, and Refunds
Nocx offers paid subscription tiers (Nocx+ and Ultra; see Pricing for current tier comparison). All purchases are processed by Stripe; payment-card details are handled by Stripe and never stored on Nocx servers. The only billing data on our infrastructure is the subscription-tier flag and the Stripe customer identifier used for renewal.
Subscriptions renew automatically until cancelled. Cancellation takes effect at the end of the current billing period; pre-paid time remains available until then.
Refunds. EU consumers benefit from the 14-day withdrawal right under Directive 2011/83/EU for subscriptions to digital services. For all users: we offer a reasonable refund window for the most recent billing cycle when contacted promptly via billing@nocx.app. Annual plans cancelled mid-term are pro-rated.
7. Termination
You may terminate your account at any time. We may terminate or suspend an account that has violated these Terms — material violations of §3 ("Acceptable Use") trigger immediate termination without prior notice; lesser violations result in a warning before any account action.
On termination by us, you may export your data (see Privacy Policy §8.5) within 30 days. On termination by you, your data is deleted per Privacy Policy §8.3.
8. Disclaimers
Nocx is provided "as is", without warranty of any kind beyond what is mandated by applicable consumer law in your jurisdiction. We do not warrant that the service will be uninterrupted, error-free, or free of security vulnerabilities. We commit to operating the service with reasonable engineering practice; we do not commit to perfection.
The cryptographic guarantees described in marketing material rely on well-studied primitives (X3DH, Double Ratchet, HPKE, AEAD constructions) and on correct implementation. We commission audits as resources permit and publish their results. End-to-end encryption protects the message in transit and at rest on our server; it does not protect against compromise of your device.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Nocx's aggregate liability arising from or related to your use of the service is limited to the greater of (a) €100 or (b) the amount you paid us in the 12 months prior to the event giving rise to the claim. Nothing in this section limits liability that cannot be limited under applicable consumer-protection law in your jurisdiction.
10. Indemnification
You agree to indemnify Nocx against third-party claims arising from your violation of these Terms or your unlawful use of the service. This does not apply where indemnification is barred by applicable consumer-protection law.
11. Changes to These Terms
We will update these Terms only when necessary — changes to features, pricing, applicable law, or our company structure. Material changes are announced in-app at least 30 days before they take effect; you may terminate your account before the changes take effect if you disagree. Non-material edits (typos, broken links, clarifications) take effect on publication.
12. Governing Law and Disputes
These Terms are governed by the laws of Bulgaria (the jurisdiction of incorporation, pending). EU consumer-protection rights are unaffected — where mandatory consumer law in your EU member state of residence provides stronger protection, that protection applies.
Disputes shall first be addressed by direct negotiation between you and us. If unresolved, EU consumers may use the European Commission's Online Dispute Resolution platform or the consumer-protection authority in their member state. Otherwise, disputes are subject to the courts of the registered seat of the company.
